TERMS & CONDITIONS

The following Terms & Conditions govern all sales of Monacelli products. By placing an order, the Customer agrees to these terms, which override any conflicting terms stated in a purchase order submitted by the Customer. Any additional terms proposed by the customer shall not be part of this agreement unless explicitly agreed upon in writing by Monacelli.

• QUOTATIONS
  • All Monacelli quotations are valid for sixty (60) days from the date of issue unless stated otherwise.
  • Product prices are quoted Ex-Works [Monacelli’s production location].
  • The Customer is responsible for all shipping and insurance costs.
• PRICING
  • Monacelli reserves the right to modify product specifications and specifications and pricing without prior notice.
  • Prices apply per unit and are based on Ex-Works terms.
  • Standard packaging is included in the price. Special packaging requests will incur additional charges.
• SALES ORDERS
  • Orders must be placed in writing via a formal purchase order.
  • An Order Confirmation will be issued detailing the sales order number, product details, pricing, billing and shipping information, and payment terms.
  • An invoice will be issued upon shipment of the products.
• PAYMENT TERMS
  • A 50% down payment is required upon Order Confirmation, with the remaining 50% balance due before shipment.
  • Payments shall be made via wire transfer, unless otherwise specified.
• DELIVERY DATE
  • Estimated delivery dates are provided as an approximation and are not guaranteed.
  • Monacelli is not liable for any delays caused by unforeseen circumstances.
• ORDER CANCELLATIONS

  Once an Order Confirmation and down payment have been received, orders cannot be canceled, reduced, or altered.

• ORDER AMENDMENTS

  Any changes or corrections to an order after confirmation must be approved in writing by Monacelli.

• ERRORS & OMISSIONS

  Any mistakes in quotations, invoices, or order confirmations may be corrected at Monacelli’s discretion.

• MATERIAL & FINISHING SELECTIONS
  • The Customer is responsible for confirming all confirming all material choices, finishes, sizes, and specifications before order confirmation.
  • Natural variations in wood, stone, leather, and fabrics are inherent and should be expected. Color variations may also occur due to digital or printed representation.
• CUSTOMER RESPONSIBILITIES
  • The Customer agrees to use Monacelli products only for their intended purpose.
  • Any misuse, modification, or improper handling releases Monacelli from liability.
• PRODUCT INSPECTION & ACCEPTANCE
  • The Customer must inspect all products upon delivery and report any defects within 48 hours.
  • If a product arrives damaged, the Customer must:
    • Contact Monacelli within 48 hours with written notice and photos.
    • Keep all original packaging until the issue is resolved.
  • Failure to report damages within 48 hours constitutes acceptance of the product in satisfactory condition.
• SHIPPING, FREIGHT, & RISK OF LOSS
  • Monacelli ships products on an Ex-Works basis. The Customer is responsible for shipping costs and insurance.
  • Risk of loss transfers to the customer once the product is handed over to the carrier.
  • Any freight claims for damage must be submitted within 48 hours of receipt, including supporting photos.
• RETURNS & CLAIMS POLICY
  • Returns are not accepted without prior written approval from Monacelli.
  • Monacelli is not responsible for damages caused damages caused by shipping carriers.
  • In the case of a manufacturing defect, Monacelli will provide replacement parts or repair services at no additional cost.
  • No cash refunds will be issued.
• STORAGE POLICY
  • Customers must arrange shipment immediately upon immediately upon order completion.
  • Storage fees of 1% of the total order value per month will apply if the order remains unshipped after 30 days.
  • Orders left unshipped for more than six (6) months may be canceled and resold without refund.
• INTELLECTUAL PROPERTY RIGHTS
  • Monacelli’s name, logo, designs, and images are protected intellectual property and may not be used without prior written approval.
  • Unauthorized use of Monacelli’s branding or imagery in marketing, resale, or digital platforms is strictly prohibited.
• LIABILITY LIMITATION
  • Monacelli’s liability for any claims arising from product sales shall not exceed the total value of the order in dispute.
  • Monacelli is not liable for indirect, incidental, or consequential damages.
• WARRANTY
  • All Monacelli products are covered by a one-year limited warranty against manufacturing defects from the date of shipment.
  • Warranty does not cover:
    • Normal wear and tear.
    • Misuse, improper storage, or unauthorized modifications.
    • Variations in natural materials (wood, leather, stone, etc.).
  • Warranty claims must be submitted in writing with photos and supporting documentation.
• FORCE MAJEURE
  • Monacelli shall not be responsible for delays or non-fulfillment of orders due to circumstances beyond our control, including but not limited to:
    • Natural disasters (earthquakes, floods, fires).
    • Strikes, supply chain disruptions, or labor shortages.
    • Government regulations or global shipping delays.
• LEGAL DISPUTES & ATTORNEY FEES

  In the event of a legal dispute, the prevailing party prevailing party shall be entitled to recover attorney’s fees and related costs.

• GOVERNING LAW & LANGUAGE
  • These Terms & Conditions are governed by the laws of [Insert Jurisdiction].
